All reserve assets backing USD MARSHALL are held or maintained by DTCM Trust Company, Inc., a South Dakota-chartered trust company ("DTCM Trust"), and/or by DTCM Technologies LLC, a federally registered money services business and state-licensed money transmitter ("DTCM Tech," together with DTCM Trust and their other affiliates, "DTCM"). DTCM issues USD MARSHALL, and TGG Capital, Inc. and affiliated entities, own the HEARTCAPITAL USD MARSHALL brand and provide certain services. DTCM processes all initial purchases and redemptions of USD MARSHALL and provides related technical infrastructure and services.

 

DTCM and entities affiliated with TGG Capital, Inc. are entitled to interest earned on the reserve assets backing USD MARSHALL pursuant to agreements between these entities. ER Marks SC LLC, an entity affiliated with Emilie Rosenberg and certain of her family members, has an indirect economic interest through majority equity ownership in an affiliate of TGG Capital Inc. which is entitled to interest earned on the reserve assets backing USD MARSHALL held or maintained by DTCM.
