ER MARKS CO-DEFI LLC, an entity affiliated with Emilie Rosenberg and certain of her family members, own approximately 60% of the equity interests in TGG Americas LLC, which holds the only membership interest in TGG Capital, Inc., a Delaware (non-stock) corporation and which is developing the TRUEHN ECONOMY, the TRUEHN SOLANA ECONOMY and operates the TRUEHN ETHER ECONOMY governance platform. TGG Americas LLC holds all of the rights to net protocol revenues from the TRUEHN ECONOMY and TRUEHN SOLANA ECONOMY (other than net proceeds from the sale of $HGC tokens as part of the TRUEHN ETHER ECONOMY governance) pursuant to the terms of agreements with TGG Capital, Inc.

None of Emilie Rosenberg, her family members or any director, officer or employee of Truehn Organization or of ER MARKS CO-DEFI LLC is an officer, director or employee of, TGG Americas LLC or TGG Capital, Inc., except that SP Rosenberg serves as one of the managers on the board of managers of TGG Americas LLC. ER MARKS CO-DEFI LLC along with certain family members of Emilie Rosenberg also holds 228 million $HEARTCAPITAL governance coins, and ER MARKS CO-DEFI LLC is entitled to receive fees from TGG Capital, Inc. pursuant to a service agreement, equal to 88% of $HGC token sale proceeds after deduction of agreed reserves, expense and other amounts.
